BUYER: the natural or legal person placing an order through an EcuPrime account (the “Buyer”). The Buyer's name, email address, phone number and billing details are as recorded in the account and the order record.

2. Subject of the agreement

The subject of this agreement is the rights and obligations of the parties regarding the sale and performance of the credit package, licence and ECU software service ordered electronically by the Buyer through the EcuPrime website.

If the Buyer is a consumer, the agreement is governed by the Consumer Protection Law No. 6502 and the Distance Contracts Regulation; if the Buyer acts for commercial or professional purposes, it is governed by the Turkish Code of Obligations No. 6098 and the Turkish Commercial Code No. 6102.

3. Service, price and payment

The service covered by the agreement is the use of the credits added to the account with the selected credit package for the software operations the Buyer requests on the ECU file they upload. The main characteristics of the service and the credit cost per operation are shown on the website and on the operation screen.

The name of the package, the number of credits it contains, the total price including taxes and the available payment methods are shown in the credits panel at the time of the order and kept in the order record. There are no delivery costs.

If the payment institution or bank does not approve the payment or later reverses it, the Seller's obligation to perform ends and the credits added with that payment are deducted from the account.

4. Performance and delivery

Once the payment is confirmed, the credits are added electronically to the Buyer's account; this is the moment of delivery of the credits.

The ECU software service is performed electronically when the Buyer starts the operation, and the output file is downloaded from the account panel. There is no physical delivery.

If even one of the selected operations cannot be applied, the file is not delivered and the credits deducted for that job are returned to the account as credits.

5. Right of withdrawal

The credits, packages, licences and ECU software service covered by this agreement are services performed instantly in electronic form, intangible goods delivered instantly to the consumer, and digital content prepared specifically for the Buyer in line with the Buyer's requests.

Therefore, under the first paragraph of Article 15 of the Distance Contracts Regulation, the Buyer has no right of withdrawal. By completing the payment, the Buyer is deemed to have requested that performance begin immediately.

The price of purchased credits, packages and software licences is not refunded; credits cannot be converted into cash or transferred to another account.

6. Declarations and obligations of the Buyer

The Buyer accepts that, before the agreement was concluded, they were informed on this page of the Seller's company details, the main characteristics of the service, the total price including taxes, the payment and performance information and the absence of a right of withdrawal.

The Buyer accepts the obligations in the Membership Agreement and Terms of Use — the authority to have operations carried out on the file, backing up the original file, writing the output to the vehicle and its consequences being the Buyer's own responsibility, and the consequences of unlawful use — as also forming part of this agreement.

The Buyer declares that the payment details belong to them or that they are authorised to use them.

7. Obligations of the Seller

The Seller is obliged to add the credits for which payment has been confirmed to the Buyer's account and to provide the service in accordance with the agreement and the characteristics described on the website.

The Seller's obligation to perform is suspended for the duration of maintenance, updates and force majeure events (natural disasters, epidemics, war, cyber attacks, infrastructure outages, legislative changes and similar).

8. Complaints and disputes

Requests and complaints about the service can be sent to the Seller through the support screen in the account panel or using the contact details below.

A Buyer acting as a consumer may apply, within the monetary limits announced each year, to the Consumer Arbitration Committee of their place of residence or of the place where the transaction was made, and to the Consumer Court for disputes exceeding those limits.

For disputes with Buyers acting for commercial or professional purposes, the courts and enforcement offices of the place where the Seller's head office is located have jurisdiction. The Seller's electronic records constitute evidence under Article 193 of the Code of Civil Procedure No. 6100; the right to submit counter-evidence is reserved.

9. Entry into force

By completing the payment, the Buyer is deemed to have declared that they have read and accepted this agreement. The agreement enters into force when the payment is confirmed.

The order and payment records are kept by the Seller. The version of the agreement in force is stated at the end of the page.
